Documents detail investments in Adani Group
31 August 2023India: The Organized Crime and Corruption Reporting Project (OCCRP) has obtained documents which allegedly show how two people with close ties to the owners of Adani Group invested significantly in the group. Nasser Ali Shaban Ahli and Chang Chung-Ling traded in Adani Group shares through a Mauritius-based investment fund. The OCCRP reports that Ahli and Chang might be found to have been acting on behalf of Adani promoters. If so, their shareholding would bring insider investment in Adani Group to over 75%. This would potentially indicate stock manipulation under Indian law. Ahli and Changs’ investment management company reportedly paid a company owned by Vinod Adani, the brother of Adani Group chair Gautam Adani, for investment advice.
Nasser Ali Shaban Ahli is a Dubai-based business consultant, who is listed as an officer in a British Virgin Islands-based securities investment firm linked to Adani Group. Meanwhile, China-based Chang Chung-Ling has held positions on the boards of multiple Adani Group companies.
Adani Group replied “Contrary to your claim of new evidence/proofs, these are nothing but a rehash of unsubstantiated allegations levelled in the Hindenburg report. Our response to the Hindenburg report is available on our website. Suffice it to state that there is neither any truth to nor any basis for making any of the said allegations against the Adani Group and its promoters, and we expressly reject all of them."
Rondo Energy raises US$60m from investors
18 August 2023US: Heat Battery developer Rondo Energy has concluded a financing round with US$60m raised in investments, Renewables Now News has reported. Investors included Siam Cement Group and Titan Cement Group, as well as Breakthrough Energy Ventures, Energy Impact Partners, the Climate Innovation Fund, Rio Tinto, SABIC, Aramco Ventures, SDCL Energy Efficiency Income Trust and John Doerr. Rondo Energy’s Heat Battery is a means of connecting cement plants and other industrial facilities to a constant supply of electricity ultimately derived from renewable energy sources.
CEO John O'Donnell said “Our Strategic Investor Advisory Board will help Rondo focus on the simplest, fastest ways to power their operations with low-cost clean energy and shape our priorities for ongoing research and development.”
CRH diversifies shareholding
17 August 2023Ireland: 26 hedge funds have bought or expanded stakes in CRH since 30 June 2023. Bloomberg has reported that existing shareholders that expanded their holdings included US-based Baupost Group and Soros Fund Management.
CRH is due to complete its transition into a primarily US-listed company in late September 2023.
Bolivia: Itacamba Cemento declared a general assembly of bondholders on 22 May 2023 void after bondholders failed to attend in sufficient numbers for the meeting to proceed. The company said that there was insufficient quorum in accordance with the provisions of its bond issuance programme, and that the way forward would be to call a new assembly.
This story was amended on 26 May 2023, after a previous version erroneously stated that the bond issuance had been declared void - whereas it was the inquorate meetings that were declared void. Global Cement apologises for this error.
Kenya: A court has prevented the takeover of a US$47.8m parcel of land belonging to East African Portland Cement Company (EAPCC) by the government. The court found that the government had not followed proper consultation processes. The East African newspaper has reported that the government had already concluded a deal with China and Oman-based investors for affordable property developments on the land.
EAPCC says that it now plans to use the site to build its own green smart city. The cement producer says that this will help to diversify its income streams.
Mitsui Bussan invests in JSW One Platforms
13 April 2023India: JSW One Platforms, JSW Group’s online business-to-business sales platform, has raised US$25m through an investment from Japan-based Mitsui Bussan. The business will use the funds to strengthen its market presence and further enhance technology capabilities. It also plans to expand its operations in Northern India, and to invest in credit, logistics and new technologies to improve customer experience. The platform stocks JSW Group subsidiary JSW Cement’s range of cement products. The Times of India newspaper has reported that Mitsui Bussan valued JSW One Platforms at US$336m.
JSW One Platforms CEO Gaurav Sachdeva said “There is a lot of distrust in the space and it’s highly fragmented. We want to be a one-stop shop for micro, small and medium-sized enterprises, with defined service level agreements and deliverables. We will be the fastest in the space to touch US$1bn in gross merchandise value.” Sachdeva added that he expects the platform’s sales to more than double to US$91.6m in the current, 2024, financial year, from US$36.6m in the 2023 financial year.
Indonesia: Semen Indonesia subsidiary Semen Baturaja has obtained four loans worth a total US$59.9m. Bank Negara Indonesia, Bank Mandiri, Bank CIMB Niaga and HSBC Indonesia advanced the funds. The loans' syndicated credit agreement aligns with Semen Baturaja's sustainability strategy, which is based on Semen Indonesia's Sustainability Framework.
Semen Baturaja's managing director Daconi Khotob said "This syndicated sustainability-linked loan will provide many benefits for Semen Baturaja, including lower interest rates than conventional loans, more attractive term sheets and the flexibility to make accelerated repayments." Khotob added that the sustainability provisions will also 'broaden the scope of investors.'
Finland: VTT Technical Research Centre subsidiary Carbonaide has concluded its seed funding round, having raised funds worth Euro1.8m. Lakan Betoni, which produces precast and ready-mix concrete, led the funding, along with utilities provider Vantaa Energy. Carbonaide will use the funds to build an industrial pilot plant for its carbon neutral precast concrete product at an existing precast concrete plant in Hollola. The plant will bind captured CO2 in the product at atmospheric pressure. The process generates 50% lower CO2 emissions than precast concrete production using ordinary Portland cement (OPC). Suitable raw materials include ground granulated blast furnace slag (GGBFS), green liquor dregs and bio-ash. In trial production, the use of GGBFS gave Carbonaide's concrete a negative carbon footprint of -60kg/m3.
Other sources of loans and in-kind contributions included Finnish state innovation fund Business Finland.
Huaxin Cement to acquire Oman Cement
14 March 2023Oman: China-based Huaxin Cement has concluded a share purchase agreement with Omani sovereign wealth fund Oman Investment Authority (OIA) for the acquisition of a 60% stake in Oman Cement. ASDQ Financial News has reported the value of the deal as US$193m.
OIA director general of private ownership Ibrahim bin Said al Eisari said "This exit comes in accordance with a plan pursued by OIA aimed at achieving a number of goals, including attracting foreign investment to the sultanate. This will contribute to the development of operations at Oman Cement, increase the efficiency of its production lines and enhance its competitiveness locally and regionally, in addition to enhancing the positive image of the Omani industrial sector in general."
Adani Group seeks sale of 4 - 5% Ambuja Cements stake
13 March 2023India: Adani Group has entered talks with lenders for the sale of a 4 - 5% stake in Ambuja Cements. Adani holds a 63% stake in the producer, which it acquired from Switzerland-based Holcim in 2022. The Financial Times newspaper has reported that the move is intended to reduce debt and restore investor confidence in Adani Group.
The Hindu Business Line newspaper has named US-based asset management company GQG Partners as a probable buyer for the stake.
US-based short seller Hindenburg Research alleged fraud and stock market manipulation by Adani Group in a report published on 24 January 2023.
