India: Adani Group's flagship company, Adani Enterprises, has clarified that it is 'not evaluating' the possibility of acquiring Jaypee Group's cement business. Bloomberg has previously reported that Adani Enterprises was in 'advanced talks' to acquire the 10Mt/yr-capacity business for US$606m.
Adani Group to acquire Jaiprakash Associates for US$606m
10 October 2022India: Adani Group and Jaiprakash Associates are reportedly in 'advanced talks' over the latter becoming Adani Group's latest cement sector acquisition at a price of US$606m. Reuters News has reported that Jaiprakash Associates' board of directors approved the sale of the company on 10 October 2022. Adani Group plans to buy the business via one of its newly acquired cement subsidiaries.
Adani Group is also planning a US$7.9bn investment package in a Rajasthan cement plant expansion, solar power plant project and airport upgrade. The solar power plant has a planned capacity of 10GW. Adani Group owns the 1.8Mt/yr Rabriyawas cement plant and the 5Mt/yr Lakheri cement plant in Rajasthan. The group plans to raise US$10bn to fund its growth plans. Potential investors in 'early talks' with the group include Singaporean sovereign wealth fund Temasek Holdings.
Adani Group completed its acquisition of ACC and Ambuja Cements for US$10.5bn in September 2022.
Jaiprakash Associates seeking to sell all assets
30 September 2022India: Jaypee Group subsidiary Jaiprakash Associates is reportedly seeking to sell its remaining assets after receiving a new insolvency bid from State Bank of India. The Times of India newspaper has reported that the company has previously sold US$4.92bn-worth of assets to pay off debts.
Jaiprakash Associates chair and chief executive officer Manoj Gaur said "We have kept faith in the law of the land and helped maximise recoveries of the bank. The setback is due to circumstances and issues such as the UltraTech deal. Our intent is to clear all the dues.”
The producer failed to sell a cement plant to UltraTech Cement under a US$2.05bn, 21.2Mt/yr cement capacity deal in 2017.
India: The Indian Coal Ministry has deducted Jaypee Cement’s bank guarantee for a lease for a planned coal mine. The Hindu newspaper has reported that the project is among 44 others penalised for delays in operation or missing production targets. UltraTech Cement also received a show cause notice regarding adherence to its timeline at one of its coal blocks.
UltraTech Cement declines to pay US$126m for Jaiprakash Associates cement plant in Uttar Pradesh
05 July 2022India: UltraTech Cement has declined to pay US$126m for a 3Mt/yr cement plant in Uttar Pradesh which it acquired from Jaiprakash Associates in 2017. The Economic Times newspaper has reported that the acquisition was part of a US$2.05bn deal covering 21.2Mt/yr-worth of cement capacity across six cement plants and five grinding plants. With environmental clearances pending on the Uttar Pradesh plant, the companies had agreed to a delayed final payment for the US$126m asset, to be made on 30 June 2022. UltraTech Cement says that it is unwilling to pay for the plant ‘in the present circumstances,’ given that the required clearances are still lacking. The group is reportedly seeking a revaluation of the plant down to US$78.3m.
India: UltraTech Cement has taken legal advice for its planned bid for Holcim's Indian business and says that it will volunteer to divest 15Mt/yr-worth of cement assets in order to accelerate the Competition Commission of India (CCI) approval process which would follow on from the acceptance of any offer. The Economic Times newspaper has reported that UltraTech Cement has filed five long form merger notifications for acquisitions of this type since 2013. These included its purchases of Binani Cement and Century Cement, and of Jaypee Group's Gujarati cement assets.
The Financial Express newspaper has reported that fellow contender Adani Group has offered 'more than' US$10bn for the assets, while JSW Group plans to offer US$7bn. BusinessLine Online News has reported that a fourth company, steel producer ArcelorMittal, has also held initial talks with Holcim over the assets.
In considering possible competition issues arising under any future deal, the CCI will factor in planned and upcoming cement capacity. In Gujarat, where Holcim India subsidiaries ACC and Ambuja Cements operate 6.8Mt/yr-worth of capacity, Adani Group plans to build a new 10Mt/yr cement plant at Lakhpat.
Insolvency proceedings ordered against Andhra Cements
29 April 2022India: The National Company Law Tribunal (NCLT) has started insolvency proceedings against Andhra Cement, a subsidiary of Jaypee Group. The decision by the NCLT follows a petition filed by Pridhvi Asset Reconstruction and Securitisation claiming a default relating to bank loans taken out between 2012 and 2016, according to the Press Trust of India. Separately, Andhra Cement has asked its creditors to submit their claims by 10 May 2022 before the Interim Resolution Professional (IRP). Local media has also reported that the cement producer had been unable to operate its cement plant at above 60% capacity utilisation due to a shortage of working capital.
Jaypee Infratech fined US$9140 for non-disclosure of non-convertible debt securities issue
15 March 2022India: The Securities and Exchange Board of India (SEBI) has fined Jaypee Infratech US$9140 for its failure to disclose its issue of a series of non-convertible debt securities. The company additionally failed to inform the BSE exchange of defaults in payment with respect to some of the series.
India: ICICI Bank has asked the National Company Law Appellate Tribunal (NCLAT) to speed up an insolvency petition against Jaiprakash Associates. It said that there had been no progress on the plea since September 2019, according to the Hindu newspaper. The private bank alleges that the subsidiary of Jaypee Group has delayed the petition through adjournments of the process. It owes the bank around US$185m.
Jaiprakash Associates sold six integrated cement plants and five grinding plants to UltraTech Cement for US$2.5bn in 2017. It was reportedly in talks with LafargeHolcim’s subsidiary ACC in mid-2018 to sell its remaining cement business.
UltraTech Cement holds profits as energy costs mount
25 April 2019India: UltraTech Cement’s net sales rose by 20% year-on-year to US$5.24bn in its 2019 financial year from US$4.35bn in the 2018 reporting period. Its profit after tax grew by 10% to US$347m from US$317m. Its power and fuel costs increased by 33% to US$1.20bn from US$903m.
The cement producer said that production stabilised at its integrated plant in Manavar, Madhya Pradesh, reaching a clinker production capacity utilisation rate of 100% in the quarter that ended on 31 March 2019. It worked on the plants of its UltraTech Nathdwara Cement subsidiary to reach a production utilisation rate of 72% in March 2019. Both plants were acquired from Binani Cement in late 2018.
The plants it acquired from Jaypee Associates in 2017 are running at a capacity utilisation rate of 82%. A planned shutdown was undertaken at its Bela plant in Madhya Pradesh plant for cost improvements. The company intends to install waste heat recovery (WHR) units at these plants. Work on the 4Mt/yr Bara grinding unit is on track and the first phase of the expansion is expected to be commissioned during the first quarter of its 2020 financial year.
