Ultracem sells some of Honduras assets for US$56m

24 February 2025

Honduras: Ultracem has announced that, through its subsidiary Ultracem Centroamérica, it is selling some of its assets in Honduras. The transaction involved the indirect sale of Duracem Honduras shares to Blackriver Overseas for US$56m.

The producer completed the sale on 20 February 2025, after fulfilling the conditions of the purchase agreement. It stated that the sale is “part of Ultracem's corporate strategy to focus its business on cement and concrete production activities in Colombia.”

Titan Cement divests assets in eastern Türkiye

19 February 2025

Türkiye: Titan Cement has agreed to sell its 75% stake in Adocim Cimento Beton to Mugla Cimento (50%) and Yurt Cimento (25%) for US$87.5m. The assets include a cement plant, terminal and related infrastructure in eastern Türkiye.

The transaction is expected to close in the second quarter of 2025, subject to regulatory approval. Titan Cement will retain its grinding and supplementary cementitious materials assets in other parts of the country.

Cementos Bío Bío concludes negotiations with Mississippi Lime Company

29 November 2024

Chile: Cementos Bío Bío (CBB) concludes negotiations with Mississippi Lime Company (MLC), according to Diario Financiero. Earlier in November 2024, MLC presented a non-binding offer of US$1.89 per share for 100% of CBB, valuing the company at almost US$500m.

Following this, Yura has now increased its offer to US$1.48 per share, valuing CBB at US$390m, after its original proposal ‘lost attractiveness’ to MLC’s offer. Yura aims to increase its stake to 40% in the company.

MLC said "After months of due diligence and review of the company's operational and financial performance, MLC and CBB's principal shareholders shared a non-binding letter of intent in May 2024 subject to conditions. That indicative offer, and its conditions, expired during this year. The revised indicative offer [from Yura], which is subject to all of the terms and conditions set out in the non-binding letter of intent, attributes an equity valuation of US$400m to CBB.”

Cemex Holdings Philippines sells stake in Cemex Asia Research

29 November 2024

Philippines: Cemex Holdings Philippines (CHP) sold its entire stake in Swiss-based Cemex Asia Research (CAR) to Cemex Innovation Holding for US$900,459 to streamline its business, according to BusinessWorld. CHP signed a share purchase agreement with Cemex Innovation on 26 November 2024 involving the sale of 118,849 shares. The company is the licensee under certain licence agreements with Cemex and its subsidiaries for certain trademarks and intangible assets, which it sublicensed to CHP and its domestic subsidiaries. Cemex Innovation is an affiliate of Mexican operating and holding company Cemex.

Cementos Bío Bío to change ownership

21 November 2024

Chile: Cementos Bío Bío (Cbb) will likely have new owners soon, as the US group Mississippi Lime Company has offered to acquire 100% of the company for nearly US$400m and shareholders are now negotiating its sale. The producer’s board authorised a due diligence process in May 2024, which has now been substantially concluded. A shareholder of Cbb, Peru's Yura, launched an offer in November 2024 for 20% of the Chilean cement company, thus reaching 40% of the shares. Yura bought 20% of Cbb for US$50m in 2019.

CRH to reconsider sale of cement business in the Philippines

08 November 2024

Philippines: CRH is considering selling its cement business in the Philippines. The company has engaged UBS Group to assess investors' interest in acquiring assets, with negotiations ongoing. In 2019, CRH attempted to sell its Philippines cement business for US$2 - 3bn as part of an asset portfolio optimisation, but the divestment is reportedly now worth ‘significantly’ less due to a ‘more complex’ business environment, according to AK&M Information Agency.

CRH first entered the Philippine market in 2015 by acquiring Republic Cement, the second largest cement producer in the Philippines.

Cemex sells operations in Guatemala to Holcim

11 September 2024

Guatemala: Cemex has sold its operations in Guatemala to Holcim Group for US$200m. The deal includes one grinding mill, three ready-mix plants and five distribution centres. The grinding mill has a capacity of 0.6Mt/yr.

CEO of Cemex Fernando González said "In 2024, we have accelerated the execution of our portfolio rebalancing strategy with the announced sale of more than US$2bn in assets located primarily in emerging markets. We are now primed for the next stage by redeploying most of the divestment proceeds in developed markets, primarily the US. We expect these efforts to drive sustainable growth for our business in the short and medium term."

Cemex secures PCC approval for share sale in Cemex Holdings Philippines

16 August 2024

Philippines: Cemex has received approval from the Philippine Competition Commission (PCC) to sell 90% of Cemex Holdings Philippines's shares. The approval relates to a joint acquisition by DMCI Holdings, Semirara Mining and Power and Dacon of shares in Cemex Asian South East Corporation, which holds a major stake in Cemex Holdings Philippines. This clearance is a requirement for finalising the transaction, contingent on further compliance by the acquiring companies.

Cemex to divest operations in the Dominican Republic

06 August 2024

Dominican Republic: Cemex has signed an agreement to sell its operations in the Dominican Republic to Cementos Progreso Holdings and partners for US$950m. The sale includes a cement plant with a capacity of 2.4Mt/yr, 12 concrete plants, a quarry and two distribution centres, as well as export businesses to Haiti.The divestment is expected to finalise in the fourth quarter of 2024, pending closing conditions.

Fernando Gonzalez, CEO of Cemex, said "This transaction advances us significantly in our portfolio rebalancing strategy which is focused on reducing our exposure in emerging markets and redeploying capital into growth investments in priority markets, primarily the US."
