Dalmia Bharat’s Jaypee Cement acquisition delayed to mid-late 2024

India: Dalmia Bharat expects to conclude its acquisition of Jaypee Cement by the end of September 2024, six months later than previously anticipated. The Hindu Business Line newspaper has reported that the group attributed the postponement to ‘procedural delays,’ including pending approvals from banks, on-going arbitration between Jaiprakash Associates and UltraTech Cement and some ‘lack of clarity’ around existing joint ventures between Jaiprakash Associates and state-owned Steel Authority of India.

Dalmia Bharat said “We are progressing in the right direction. These are procedural delays over which we have no control.”

Shareholder dispute at Jaypee Bhilai Cement threatens Dalmia Cement (Bharat)’s Jaiprakash Associates cement acquisition

India: Dalmia Cement (Bharat) faces a potential stumbling block to its planned acquisition of Jaiprakash Associates’ cement business for US$683m due to an on-going shareholder dispute at subsidiary Jaypee Bhilai Cement. The Economic Times newspaper has reported that a court has frozen Jaiprakash Associates’ 74% shareholding in the company, and ordered it not to create new third party rights. State-owned Steel Authority of India Limited holds the remaining 26% stake in the cement producer, which operates the 2.2Mt/yr Bhilai Jaypee grinding plant in Durg, Chhattisgarh.

Dalmia Cement (Bharat) and Jaiprakash Associates concluded multiple separate agreements for the transfer of ownership of Jaiprakash Associates’ cement subsidiaries on 26 April 2023. Besides Jaypee Bhilai Cement, these include cement plant and limestone mine operator JP Super and grinding plant operator Jaiprakash Power Ventures.

Steel Authority of India cement plant project in Sundargarh stalled

India: A joint-venture project involving the Steel Authority of India (SAIL) to build a new cement plant at Sundargarh in Odisha has stalled. Following support by local politicians for the plans in February 2017 no further action has been taken, according to the New Indian Express newspaper. SAIL originally made plans in 2006 to use blast furnace slag from the Rourkela Steel Plant and fly ash of NTPC-SAIL Power Company for the unit. It also intended pick up the lease for a limestone mine at Purunapani. However, it later ran into troubles securing state agreement to use the mine.

Orient Cement signs deal to buy cement plants from Jaiprakash Associates for US$302m

India: Orient Cement has signed a deal with Jaiprakash Associates to buy three cement plants from it for US$302m. The arrangement, which was originally announced in October 2016, includes a deal to buy a 74% stake in Bhilai Jaypee Cement for US$225m and the acquisition of the Nigrie cement grinding plant in Singrauli, Madhya Pradesh from Jaiprakash Power Ventures for US$77m, according to the Hindu newspaper. Bhilai Jaypee Cement, a joint venture between Jaiprakash Associates and the Steel Authority of India Limited (SAIL), has a 2.2Mt/yr integrated Portland slag cement plant in Satna Madhya, Madhya Pradesh and a grinding plant in Bhilai, Chhattisgarh.

The transaction will be funded by Orient Cement through a mix of internal accruals, debt and equity funding. The acquisitions will increase Orient Cement’s production capacity to 10.2Mt/yr from 8Mt/yr and it will grant it access to the central and eastern regions of the country.

Japla plant to reopen in Jharkhand

India: Jharkhand Chief Minister Raghubar Das has reassured the people of Palamu that the Japla cement factory, which has been closed for many years, will be reopened soon. Das said that talks have been completed with the Steel Authority of India Ltd (SAIL) with respect to handing over of the limestone mines to Jharkhand State Mineral Development Corporation to serve the Japla Cement Factory. He added that reopening of the factory would provide employment to thousands of people.

Orient Cement to buy three plants from Jaiprakash Associates for US$292m

India: Orient Cement is to buy three cement plants from Jaiprakash Associates for US$292m. The cement producer will acquire a 74% stake in Bhilai Jaypee Cement for US$217m from Jaiprakash Associates and the Nigrie cement grinding plant from Jaiprakash Power Ventures for US$75m, according to the Press Trust of India.

Bhilai Jaypee Cement, a joint venture between Jaiprakash Associates and the Steel Authority of India Limited (SAIL), has a 2.2Mt/yr integrated Portland slag cement plant in Satna Madhya, Madhya Pradesh and a grinding plant in Bhilai, Chhattisgarh. The acquisition will also give Orient Cement access to limestone reserves and other raw materials including slag. The Nigrie cement grinding plant in Singrauli, Madhya Pradesh, has a capacity of 2Mt/yr.

"The current proposal to acquire BJCL from JAL is a significant step towards accomplishing our current mission of reaching a capacity of 15Mt/yr by 2020," said CK Birla Group chairman CK Birla, owner of Orient Cement. At present, the cement producer has 8Mt/yr from three plants in Telangana, Maharashtra and Karnataka.

State government asks Steel Authority of India to build cement plant in Odisha

11 August 2016

India: The state government of Odisha has asked the Steel Authority of India to build infrastructure, including a cement plant, in the Sundargarh district. The admission came about at a meeting between Steel Authority chairman P K Singh and chief minister Naveen Patnaik at the state secretariat. Other projects the state would like the steel producer to build include a hospital, a medical college and an education centre, according to the Times of India.

Dalmia Bharat buys out SAIL in Bokaro Jaypee Cement

India: Dalmia Bharat has acquired the final 26% stake that it did not already own in Bokaro Jaypee Cement from the Steel Authority of India (SAIL), for US$150m. Bokaro Jaypee Cement has become a wholly-owned subsidiary of Dalmia. In March 2014 Dalmia acquired Jaypee's 74% holding in the company.

Bokaro Jaypee Cement was formed as a 74:26 joint venture project between Jaiprakash Associates and SAIL, for the operation of a 2.1Mt/yr capacity grinding plant at Bokaro, Jharkhand. The cement produced in the unit was sold through Jaiprakash's distribution network under the brand name 'Jaypee Cement'. However, Jaypee exited the venture and used the proceeds to address its debt.
