Omani Capital Market Authority questions Raysut Cement's second quarter 2022 results

29 November 2022

Oman: The Capital Market Authority (CMA) has called on Raysut Cement to urgently address 'material misrepresentations' in its financial results for the second quarter of 2022. The Oman Daily Observer newspaper has reported that the CMA has warned investors that the misrepresentations 'hugely' impacted the report's profit and loss accounts.

The regulator said "CMA emphasises that failure to exercise due diligence in providing timely and accurate financial statements to the investors in fair manner is a breach of the law, and renders the violating entities legally responsible. The CMA announces zero tolerance in this regard."

Holcim appoints Steffen Kindler as chief financial officer

Switzerland: Holcim has appointed Steffen Kindler to the role of chief financial officer (CFO), effective from 1 May 2023. Kindler joins the cement producer from Nestlé Deutschland, where he is currently CFO, having held various key business roles in Europe and North America throughout his 25-year career at Nestlé. These included roles of global responsibility for key corporate functions such as investor relations and mergers and acquisitions. Kindler holds a diploma in business administration and computer science from the University of Mannheim and attended Nestlé's leadership programme at London Business School.

Holcim CEO Jan Jenisch said “I am excited to welcome Steffen Kindler to the team. With his vast financial expertise and geographic experience, I am confident he will fit in well with Holcim’s performance-driven culture. Steffen is an ideal partner to contribute to our continued success as we become the global leader in innovative and sustainable building solutions, with a focus on superior value creation for all our stakeholders.”

Current CFO Géraldine Picaud will oversee the completion of the group’s full-year 2022 results and conduct a thorough handover, before continuing her career outside of the company.

Jenisch said “I personally thank Géraldine for her commitment and contributions to Holcim over the past five years. The solid foundations you see today – especially Holcim’s strong balance sheet, solid credit ratings and integration of sustainable finance – are all testimony to her leadership. I wish her much continued success in her future endeavors."

Holcim to delist from Euronext Paris

21 November 2022

France/Switzerland: Holcim plans to delist all shares from the Euronext Paris exchange. Shares in the Switzerland-based group will continue to trade on the SIX Swiss Exchange. The cement producer explained its decision in terms of its need to simplify its trading structure. It expects thereby to further reduce its administrative costs and requirements.

Grupo Argos enlarges shareholding in Cementos Argos

18 November 2022

Colombia: Grupo Argos announced its purchase of US$2.49m-worth of shares in Cementos Argos. The purchase accounts for 0.3% of the subsidiary's share capital. At the start of 2022, Grupo Argos held a 59% majority stake in the cement producer. The next biggest single shareholders were investment services company AFP y Cesantías Protección, with 8%, and pension fund management company SAFP Porvenir, with 6.3%.

Indian court clears authorities to issue summons in Binani Cement fraud case

17 November 2022

India: A court has dismissed Shraddha Binani's petition against summons by the Ministry of Corporate Affairs' Serious Fraud Investigation Office in its investigation of alleged related party transactions by the former Binani Cement. Mint News has reported that 'huge funds' from the company's related parties entered Binani's bank account, beginning in 2010.

Under corporate insolvency resolution proceedings, Binani Cement underwent acquisition by Aditya Birla subsidiary UltraTech Cement, becoming UltraTech Nathdwara Cement, in 2018.

Grasim Industries to raise US$121m

India: Grasim Industries has secured its board's finance committee's clearance to raise up to US$121m through issue of non-convertible debentures. The Aditya Birla subsidiary plans to carry out the issue on a private placement basis, in one or more tranches.

GCC announces three new senior leadership appointments

02 November 2022

Mexico: GCC has made new appointments to the roles of project director, chief financial and planning officer and general counsel, effective immediately. Luis Carlos Arias will now serve as project director to the company's Odessa, US, cement plant expansion. Arias previously served as the group's chief financial officer. Maik Strecker steps into the role of chief financial and planning officer. Strecker joined GCC as chief planning officer in 2020. He has two decades' previous experience in roles spanning mergers and acquisitions, business development, product line management, operations and sales and marketing. Lastly, Cesar Conde will serve as GCC's general counsel. Conde has worked for the group since 2006.

GCC's CEO Enrique Escalante said "I am confident these executives bring proved strategic and execution leadership to the Company, and I look forward to the challenges and opportunities ahead."

Borneo Oil to enlarge Makin Teguh stake to 60%

Malaysia: Borneo Oil has entered into a conditional share sale agreement with Makin Teguh's 45% owner Global 2332 to enlarge its stake in the cement company by 31%, to 60%. Borneo Oil has proposed a private placement to raise US$11.3m towards funding the US$21.2m deal. It previously completed a US$4.65m shares issue on 26 October 2022. Bernama Daily Malaysian News has reported that Makin Teguh plans to commence operations at its 220,000t/yr Sabah integrated cement and clinker plant in early 2023. It owns two limestone mines, with total reserves of 14.4Mt.

BBMG Corporation issues US$276m in bonds

28 October 2022

China: BBMG Corporation has issued US$276m in short-term commercial paper on the international bond market. The bonds have a maturity date of 24 March 2023. Bank of Beijing is the main underwriter of the offering.

China Knowledge Press News has reported that BBMG Corporation has a one-year outstanding balance of US$2.53bn and a total outstanding balance of US$6.39bn.

Fauji Cement's sales and profit rise in first quarter of 2023 financial year

24 October 2022

Pakistan: Fauji Cement has recorded first-quarter sales of US$67.2m in its 2023 financial year, up by 27% year-on-year from US$52.9m during the first quarter of the previous financial year. The producer's cost of sales was US$47.9m, up by 29% from US$37.3m, and it recorded a profit for the period of US$10.6m, up by 10% from US$9.62m.

Fauji Cement is currently undergoing a transition into the third largest cement producer in Pakistan, through a US$122m 2.05Mt/yr expansion to its Nizampur, Khyber Pakhtunkhwa, cement plant and a US$148m 2.05Mt/yr expansion to its Dera Ghazi Khan cement plant. Together, Fauji Cement will fund the projects through US$171m-worth of debt, US$54.9m-worth of internal cash generation and US$45.7m-worth of equity.
