Adani Group seeking lenders to refinance Holcim India acquisition loans

India: Adani Group has reportedly entered discussions with five banks in a search to refinance US$3.8bn-worth of loans taken for its acquisition of Holcim India. The Economic Times newspaper has reported that the group aims to secure funding by mid-July 2023. Potential participants in the refinancing round reportedly include Malaysia and Taiwan-based banks, as well as existing lenders Barclays, Deutsche Bank and Standard Chartered.

Adani Group takes US$2.33bn in new loans since publication of Hindenburg Research report

India: Adani Group has taken a total US$2.33bn-worth of new loans over the two-and-a-half month period since the publication of a report into the group's activities by US-based shortseller Hindenburg Research on 24 January 2023. The report concluded with a finding of 'numerous issues of suspected fraud' by Adani Group. Adani Group explained at the time that all findings were 'stale, baseless and discredited.' The Times of India newspaper has reported that the group's net debt rose by 17% year-on-year to US$22.6bn on 8 June 2023. Adani Group's energy sector subsidiaries raised US$2.01bn-worth (86%) of the debt.

Adani Group completely paid off loans used in its US$6.4bn acquisition of Holcim India on 6 June 2023.

Adani Group completes prepayment of loans for acquisition of Holcim India

06 June 2023

India: Adani Group repaid loans worth a total of US$2.65bn on 6 June 2023, with a total interest payment of US$700m. Accord Fintech News has reported that the sum includes prepayment of loans worth US$700m used to acquire Holcim India, alongside other loans. This completes the group's prepayment of loans taken for the acquisition, which it completed in September 2022.

Adani Group prepays US$200m-worth of loan for Holcim India deal

India: Adani Group has reportedly prepaid US$200m-worth of a US$1bn mezzanine loan for its acquisition of Holcim's Indian business in mid-2022. The loan will be due for repayment in September 2024. Bloomberg has reported that the conglomerate hopes that the part prepayment will help it to secure a three-year extension to repayment.

Mohit Kapoor appointed as head of Bamburi Cement

Kenya: Bamburi Cement has appointed Mohit Kapoor as its Group Chief Executive Officer (CEO), with effect from 1 April 2023. He succeeds Seddiq Hassani, who has held the position since 2018.

Kapoor is an electrical engineer who has also worked in marketing and supply chain management. He previously held the post of the CEO of Holcim Qatar. Prior to this he worked as the Head of Growth and Innovation at Holcim India, the Managing Director of Readymix Projects, the Vice President of Logistics and Supply Chain at Lafarge India and the Senior Project Manager for Lafarge Group Audit.

Adani Group may obtain extension for repayment of Holcim India acquisition loan

India: Adani Group is rumoured to have entered negotiations to extend the repayment duration of its US$4bn loan for the acquisition of Holcim's Indian business. The group secured the funds in August 2022. The Economic Times newspaper has reported that the group is seeking to extend the duration of its repayments from 18 months to at least five years. It is reportedly also seeking a similar extension for a parallel US$1bn mezzanine loan tranche.

Adani Group described the rumour as 'incorrect.'

Adani Group completes Holcim India acquisition

16 September 2022

India: Adani Group has successfully acquired Holcim’s assets in Indian for US$6.4bn. Holcim says that the transaction will facilitate the on-going implementation of its acquisition strategy, to build on investments of US$5.19bn in its solutions and products business so far in 2022.

Holcim chief executive officer Jan Jenisch said “I would like to thank our 10,700 Indian colleagues who have played an essential role in the development of our business over the years with their relentless dedication and expertise. I am convinced that the Adani Group is the right home for them as well as for our customers to continue to thrive in the future. This divestment is another step in our transformation to become the global leader in innovative and sustainable building solutions, strengthening our balance sheet and giving us the firepower to continue our acquisition strategy.”

Adani Group to enlarge ACC and Ambuja Cements stakes

12 September 2022

India: ACC and Ambuja Cements shareholders tendered some of their shares under a US$3.8bn open offer by Adani Group for a further 26% stake in each company. The offer closed on 9 September 2022, and the group secured ownership of a further 2.2% stake in ACC and a further 0.4% stake in Ambuja Cements.

Adani Group agreed to acquire Switzerland-based Holcim’s 50% ACC stake and 63% Ambuja Cements stake for US$10.5bn in May 2022.

Adani Group receives Competition Commission of India approval for Holcim India acquisition

15 August 2022

India: The Competition Commission of India (CCI) has approved Adani Group’s US$10.5bn deal to acquire Holcim’s Indian business. Holcim holds a 63% stake in Ambuja Cements, which holds a 50% stake in ACC. Holcim also holds a direct 4.5% stake in ACC.

Adani Group launched a new company, Endeavour, to assume ownership of the new share capital from Holcim’s holding company Holderind Investments.

Competition Commission of India finds massive collusion in Indian cement industry

05 August 2022

India: Holcim subsidiaries ACC and Ambuja Cements, along with Dalmia Cement, Shree Cement, UltraTech Cement and 15 other Indian cement producers, have violated antitrust laws through price collusion and supply restriction, a Competition Commission of India (CCI) investigation has uncovered. Reuters News has reported that regular price rises in the Indian cement market were the outcome of collusion between producers, which set target prices by district and carried out twice weekly inspections of participant companies’ operations. Senior executives from ACC and UltraTech Cement, among other companies, served as state-wide coordinators. They planned and carried out their deception by means including messaging platform WhatsApp.

ACC and UltraTech Cement, along with ACC’s fellow Holcim subsidiary Ambuja Cements, declined to comment, however Holcim said “The Indian companies are managing this matter responsibly and we expect them to continue to do so accordingly."
