HeidelbergCement sale now on
16 January 2019More details from HeidelbergCement this week on its divestment strategy. It has sold its half-share in Ciment Québec in Canada and a minority share in a company in Syria. A closed cement plant in Egypt is being sold and it is working on divesting its business in Ukraine. Altogether these four sales will generate Euro150m for the group. Chairman Bernd Scheifele said that the company expects to rake in Euro500m from asset sales in 2018. It has a target of Euro1.5bn by the end of 2020.
In purely cement terms that is something like seven integrated plants. So the usual game follows of considering what assets HeidelbergCement might consider selling. The group offered a few clues in a presentation that Scheifele was due to give earlier this week at the Commerzbank German Investment Seminar in New York.
First of all the producer said that it was hopeful for 2019 due to limited energy cost inflation, better weather in the US, the Indonesian market turning, general margin improvement actions and sustained price rises in Europe. It then said that its divestments would focus on three main categories: non-core business, weak market positions and idle assets. The first covers sectors outside of the trio of cement, aggregates and ready-mix concrete. Things like white cement plants or sand lime brick production. Countries or areas it identified it had already executed divestments in included Saudi Arabia, Georgia, Syria and Quebec in Canada. Idle assets included depleted quarries and land.
The first obvious candidate for divestment could be the company’s two majority owned integrated plants in the Democratic Republic of Congo. These might be considered targets due to the political instability in the country. However, this is balanced by the potential long-term gains once that country stabilises. Alternatively, some of the plants in Italy seem like a target. The company had seven integrated plants, eight grinding plants and one terminal in 2018.
The presentation also pointed out the sharp rise in European Union (EU) Emissions Trading Scheme (ETS) CO2 emissions allowances, from around Euro5/t in 2017 to up to Euro20/t by the end of 2018. In late 2018 Cementa, a subsidiary of HeidelbergCement in Sweden, said it was considering closing Degerhamn plant due to mounting environmental costs. The group reckons it can fight a high carbon price through consolidation, capacity closure, higher utilisation, limited exports and pricing. It also pointed out that it is a technology leader in carbon reduction projects. It will be interesting to see how environmental costs play into HeidelbergCement’s divestment decisions.
Finally, a tweet by Sasja Beslik, the head of sustainable finance at Nordea, flagged up a few cement companies as being the worst companies for increasing CO2 emissions between 2011 and 2016. HeidelbergCement was 19th on the list after LafargeHolcim and CRH. Sure, cement production makes CO2 but it’s far from clear whether the data from MSCI took into account that each of these companies had expanded heavily during this time. In HeidelbergCement’s case it bought Italcementi in 2016. Cement companies aren’t perfect but sometimes there’s just no justice.
Yazidis apply to join criminal case against Lafarge
03 December 2018France/Syria: A group of Yazidi women have applied to become ‘civil parties’ in a criminal case brought in France against Lafarge and several of its executives for complicity in crimes against humanity and financing a terrorist organisation. The women survived rape and slavery at the hands of the Islamic State (IS) group in Iraq and Syria, according to the Agence France Presse. Lafarge allegedly made multi-million dollar payments to IS in order to continue operations at one of its cement plants in northern Syria in 2013. Lawyers on behalf of the Yazidi said that the case would allow the women, "to have their voices heard in a court of law."
Lafarge Syria is suspected of paying nearly Euro13m to IS and other militant groups to keep the Jalabiya plant running. Payments by the cement company were considered a ‘tax’ in exchange for which militants allowed free movement of the company's staff and goods inside the warzone, according to investigators.
France/Syria: A judicial investigation has seized Euro4m from former Lafarge executives, including former chief executive officer (CEO) Bruno Lafont, as part of a probe into the company’s conduct in Syria. Sources quoted by the Agence France Presse said that Euro2.5m was confiscated from Lafont’s leaving package of Euro8.4m as Lafarge merged with Holcim to form LafargeHolcim. Funds were also taken from Bruno Pescheux and Frédéric Jolibois, the former directors of Lafarge Cement Syria, and from Christian Herrault, a dormer deputy general regional manager with overview of Syria.

It has been accused of complicity in crimes against humanity and financing terrorism. A panel of three judges in Paris has ordered Lafarge to pay over Euro30m as a security deposit ahead of the trial. Eight former executives, including Lafont, have been charged in connection to the investigation.
Turkey exported US$124m worth of cement in 2017
31 July 2018Turkey: İsmail Bulut, the head of the Turkish Cement Manufacturers Association (TÇMB), says that the local industry exported US$124m of cement in 2017. He told the Daily Sabah newspaper that the sector has a production capacity of 81Mt/yr. TÇMB data shows that it exported 7.98Mt of cement in 2017 to nearly 100 countries. The top destinations for Turkish cement included Syria, the US, Israel and Ghana. It also exported 4.93Mt of clinker led by Ghana, Colombia, Ivory Coast and Guinea. Despite the high levels of exports, the country also imported relatively small amounts of clinker for Greece and Bulgaria in 2017.
Syria: Declassified notes from the French secret service reported upon by the Libération newspaper have revealed that the Islamic State of Iraq and Syria (ISIS) terrorist group made at least US$11.5m in 2014 from cement it plundered from Lafarge Syria’s Jalabiya cement plant.
In December 2014 the Directorate of Military Intelligence (DRM) reported that ISIS had taken control of an estimated US$25m worth of cement at the site. Subsequently in late December 2014 the DRM monitored a meeting between Turkish businessmen and IS representatives from the cement plant that took place at the Turkish-Syrian border. 65,000t of cement from the plant had already been sold for US$6.5m and another 50,000t was contracted to be sold for US$5m.

LafargeHolcim said that would appeal against the charges. It admitted that the system of supervision of its Syrian subsidiary did not allow the company to identify wrongdoing. However, it blamed this on “…an unprecedented violation of internal regulations and compliance rules by a small group of individuals who have left the group.”
“We truly regret what has happened in the Syria subsidiary and after learning about it took immediate and firm actions. None of the individuals put under investigation is today with the company,” said the chairman of the board of LafargeHolcim, Beat Hess.

Is the Holcim takeover of Lafarge complete?
30 May 2018LafargeHolcim’s announcement this week that it is to close its headquarters in Paris is the latest sign of the tension within the world’s largest cement producer. The decision is rational for a company making savings in the aftermath of the merger of two rivals – France’s Lafarge and Switzerland’s Holcim – back in 2015. Yet, it also carries symbolic weight. Lafarge was an iconic French company that had been in operation since 1833. Its hydrated lime was used to build the Suez Canal, one of the great infrastructure projects of the 19th century.
In the lead up to the merger in 2015 the union of Lafarge and Holcim was repeatedly described as one of equals. However, the diverging share price between the two companies killed that idea on the balance sheets in early 2015. Renegotiation on the share-swap ratio between the companies followed with an exchange ratio of nine Holcim shares for 10 Lafarge shares. In the end Holcim’s shareholders ended up owning 55.6% of LafargeHolcim. Lafarge’s Bruno Lafont lost out on the top job as chief executive officer (CEO) in the frenzy but the role did go to another former Lafarge executive. The new company also retained its former corporate offices in both France and Switzerland.
Since the merger LafargeHolcim has underperformed, reporting a loss of Euro1.46bn in 2017. Former senior executives from Lafarge have become embroiled in a legal investigation looking at the company’s conduct in Syria. LafargeHolcim’s first chief executive officer Eric Olsen resigned from the company in mid-2017 following fallout from a review into the Syria affair. Both Olsen and Lafont are currently under investigation by the French police into their actions with respect to a cement plant that the company kept operational during the on-going Syrian conflict. Olsen’s replacement, Jan Jenisch, is a German national who previously ran the Swiss building chemicals manufacturer Sika.
Regrettably the closure of LafargeHolcim’s corporate office in Paris will also see the loss of 97 jobs although some of the workers in Paris will be transferred to Clamart, in the south-western suburbs of the city. Another 107 jobs will also be cut in Zurich and Holderbank in Switzerland.
One more knock at the local nature of cement companies in the very international arena they operate in doesn’t mean that much beyond bruised national pride. British readers may mourn the loss of Blue Circle or Rugby Cement but the country still has a cement industry even if it mostly owned by foreign companies. France’s industry is doing better as it recovers following the lost decade since the financial crisis in 2008.
Jump to 2018 and LafargeHolcim is being run by a German with links to Switzerland, Holcim shareholders had the advantage during the merger, its former Lafarge executives and assets are facing legal scrutiny over its conduct in Syria and Lafarge’s old headquarters in Paris are being closed. LafargeHolcim in France still retains the group’s research and development centre at Lyon and a big chunk of the local industry. Yet Holcim has held an advantage ever since the final terms of the Lafarge-Holcim merger agreement were agreed so this slow slide to Switzerland is not really a surprise. From a distance it feels very much like the Holcim acquisition of Lafarge is finally complete.
NGOs accuse Lafarge of crimes against humanity
15 May 2018France: Sherpa and the European Center for Constitutional and Human Rights (ECCHR) have argued that Lafarge should be indicted for complicity in crimes against humanity. The non-government organisations (NGO) have made the argument for the accusation in a memorandum to investigative judges examining Lafarge Syria’s conduct. Despite the indictment of several Lafarge executives the NGOs want to the charges to apply to Lafarge itself as a company. The cement producer allegedly paid extremist groups to keep a cement plant operational after the outbreak of war in the country.
“Companies have the means to fuel armed conflicts by doing business with regimes or armed groups who commit war crimes and crimes against humanity. The fight against multinationals’ impunity will necessarily imply holding them to account, in particular in countries where parent companies operate and control their subsidiaries’ activities worldwide. Access to justice for thousands of victims of armed conflicts depends on it,” said Sandra Cossart, director of Sherpa.
France: Jacob Waerness, the former security chief at Lafarge Syria, has been arrested in Paris. He was taken into custody in early May 2018 while transferring between planes at the Charles de Gaulle airport, according to Le Monde newspaper. He was arrested on charges of financing terrorism. Waerness worked as the head of security for Lafarge in Syria from 2011 to 2013. He published a book about his experiences in 2016.
France: The French government reportedly asked the US not to target Lafarge Syria’s Jalabiya cement plant during military operations in 2014. Emails seen and reported upon by Reuters suggest that France's Syria envoy, Franck Gellet, asked the French Foreign Ministry to protect the cement plant while it was in Islamic State controlled territory. The request to ‘not to do anything about this site without checking with us first’ was then passed to US officials. Neither the French Foreign Ministry nor LafargeHolcim commented on the emails when asked by Reuters.
