Holcim Russia becomes Cementum

03 February 2023

Russia: Holcim’s divested Russian business has rebranded as Cementum. Local management concluded a deal to buy the company from Switzerland-based Holcim in December 2022. The new ownership agreed to change the name upon completion of the transaction. Holcim Russia had been operating as a deconsolidated subsidiary of Holcim since March 2022, following Russia’s invasion of Ukraine.

Australian competition authorities seek comment on Sika's MBCC Group acquisition

20 January 2023

Australia: The Australian Competition and Consumer Commission (ACCC) has called for public comment on Switzerland-based Sika's proposed acquisition of Germany-based fellow construction chemicals producer MBCC Group. The commission has raised 'preliminary concerns' over the possible competition impacts of Sika obtaining an 80% Australian market share as a result of the deal.

Sika group responded to the ACCC's concerns with an offer of an undertaking to divest MBCC Group's entire Australia and New Zealand business.

US court orders GCC to pay US$36.1m to Compañia de Inversiones Mercantiles

13 January 2023

US: Mexico-based GCC must pay US$36.1m in compensation to Bolivia-based Compañia de Inversiones Mercantiles (CIMSA) in their dispute over deal concerning shares in Sociedad Boliviana de Cemento (SOBOCE). A US court issued the latest ruling after refusing to recognise an earlier judgment by a Bolivian court on 10 January 2023.

Milenio News has reported that GCC is expected to appeal the US court's decision.

Lafarge acquisition notice delay leads to new audit rules

09 January 2023

Zimbabwe: Companies registered in Zimbabwe are now subject to a new penalty framework under which they will face a US$14,200 fine for failure to publish audited full-year accounts within 90 days of the end of the year. Additional fines will accrue at a rate of US$100/day for the subsequent 30 days or less, whereupon the regulator will take further action. Business Weekly News has reported that the Securities and Exchange Commission of Zimbabwe (SecZim) enacted the new rules after Lafarge Cement Zimbabwe failed to fully disclose its acquisition by Fossil Mines in December 2022.

Vicat increases Sinai Cement stake

13 December 2022

Egypt: France-based Vicat’s stake in Sinai Cement has risen to 67% from 51%. The group purchased US$5.65m-worth of additional shares in the producer from separate investors on 13 December 2022. Reuters News has reported that shareholder Arab Industrial Investment sold its 6.6% stake for US$2.29m.

Cemex Dominicana partners with Nestlé Dominicana for alternative fuel co-processing

Dominican Republic: Cemex Dominicana has announced the signing of a new sustainability agreement with food producer Nestlé Dominicana. Under the agreement, Cemex Dominicana will co-process Nestlé Dominicana's non-recyclable high-calorific solid industrial waste as alternative fuel (AF) in its cement plant.

Cemex's Dominican Republic, Puerto Rico and Haiti regional director José Antonio Cabrera said "This agreement with Nestlé allows us to continue promoting our Future in Action strategy by operating our cement plant with AF." He concluded "We are committed to becoming a net-zero CO2 company."

Safi Çimento acquires Sancim Bilecik Çimento from Aşkale Group

Türkiye: Safi Holding subsidiary Safi Çimento has acquired former Aşkale Group subsidiary Sancim Bilecik Çimento. The TR Monitor newspaper has reported that Sancim Bilecik Çimento's Bilecik plant commands 1.2Mt/yr-worth of integrated cement capacity, with an additional 300,000t/yr in grinding capacity. It serves the Central Anatolia, North Aegean and South Marmara markets, as well as export markets. Safi Holding indicated that export sales and marketing operations will continue at its newly acquired subsidiary.

Estonian competition authority opens additional proceedings into Schwenk Eesti's Betoonimeister stake acquisition

Estonia: Competition authorities have opened additional proceedings into Schwenk Zement subsidiary Schwenk Eesti's deal to acquire a majority stake in Betoonimeister. The parties concluded their agreement in late September 2022.

Betoonimeister supplies ready-mix concrete across Estonia from six batching plants in Jõhvi, Pärnu, Tapa, Tallinn and Tartu. It employs a total of 90 people.

Borneo Oil to enlarge Makin Teguh stake to 60%

31 October 2022

Malaysia: Borneo Oil has entered into a conditional share sale agreement with Makin Teguh's 45% owner Global 2332 to enlarge its stake in the cement company by 31%, to 60%. Borneo Oil has proposed a private placement to raise US$11.3m towards funding the US$21.2m deal. It previously completed a US$4.65m shares issue on 26 October 2022. Bernama Daily Malaysian News has reported that Makin Teguh plans to commence operations at its 220,000t/yr Sabah integrated cement and clinker plant in early 2023. It owns two limestone mines, with total reserves of 14.4Mt.

Kogi State government takes Dangote Industries to court

21 October 2022

Nigeria: The government of Kogi State has filed a lawsuit against Dangote Cement's parent company Dangote Industries. The state government claims no payment was received for Dangote Cement's acquisition of the Obajana cement plant upon its privatisation in 2002, according to the Advocate newspaper. If the legal case is successful it could void the cement producer’s contract with the state government.

The National Security Council ordered the reopening of the Obajana cement plant in the national interest on 14 October 2022, following its closure by order of the Kogi State Assembly.
