Susie Farnon appointed as head of audit committee at Breedon Group

19 December 2018

UK: Susie Farnon has been appointed as the chairman of the audit committee at Breedon Group. It will follow the retirement of David Warr at the end of December 2018. Warr has held the post as a non-executive director since 2008 and during his time on the board he served as chairman of the audit committee. Farnon is Breedon's senior independent non-executive director. Following the appointment of Peter Cornell as a non-executive director in October 2018, the group says it is in the final stages of appointing a second additional independent non-executive director and expects to make an announcement early in 2019.

Breedon Group sales rise by 32% to Euro830m

UK: Breedon Group’s sales revenue rose by 32% year-on-year to Euro830m in the first 10 months of 2018. The result included the contribution of Lagan Group, which it purchased in April 2018. It described its cement business as performing within expectations.

Lagan bagged cement products rebrand as Breedon

Ireland/UK: Lagan Group’s bagged cement, brick and tile products have been rebranded within the Breedon Group. The Irish company was acquired by Breedon Group earlier in 2018. It manufactures a range of bagged cement, concrete roof tiles and clay facing bricks, which it supplies to builders’ merchants across the UK and Ireland. The newly branded range has widened the product range available through Breedon’s distributor network.

As James Cousins, regional director responsible for Breedon’s specialist building products, said, “It’s a very exciting time to be part of Breedon. We’ve spent the last few months getting to know our new colleagues, as well as the products and plants within the group, and the rebranding from Lagan to Breedon demonstrates our commitment to the market to move forward as a single brand, leveraging the strength of the enlarged group to offer our customers high quality products and the highest level of customer service.”

New Breedon director

UK: Peter Cornell will join the Board of Breedon Group as an independent non-executive director on 1 October 2018. He is a Partner in Metric Capital, a Special Situations Fund targeting mid-sized companies throughout Europe with approximately Euro2bn of assets currently under management.

Prior to founding Metric Capital with his two partners in 2011, Peter was a Managing Director at Terra Firma, one of Europe's leading private equity firms. He formerly spent more than 20 years with international law firm Clifford Chance, latterly as Global Managing Partner.

Peter is currently non-executive Chairman of Grant Thornton and Lexington Consultants, a professional service firm consultancy. He is also a non-executive director of Schroders Limited, F&C Commercial Property Holdings Limited and IE Business School in Madrid.

Breedon benefits from Lagan purchase

UK: Breedon Group has reported its first half results for 2018, which showed a 16% year-on-year increase in revenue to Euro419.3m and a 3% fall in profit before tax to Euro33.7m. The group completed the acquisition of Ireland-based Lagan Group during the period under review, as well as other companies in the UK.

Peter Tom CBE, Executive Chairman, commented, “This was one of the busiest periods in the Group’s history, with four acquisitions completed by 1 July 2018, including our first outside Great Britain, coupled with continued organic investment in a number of key projects. We had anticipated a challenging 2018 and so it proved in the first half, with testing trading conditions exacerbated by the severe weather in the first quarter and rising input costs throughout the period. Despite these headwinds, we delivered a resilient performance.”

“We continue to view the medium- to long-term outlook in Great Britain positively, with infrastructure spending forecast to increase steadily over the next three years and government strategies to address our chronic housing shortage expected to fuel continued growth in the residential sector. Market conditions in Ireland are expected to be even healthier, with construction output in the Republic forecast to grow by approximately 28% in the three years to 2020 and Northern Ireland expected to sustain construction output at approximately Euro3.33bn/yr from 2018 to 2022.”

Taking the industry pulse at Hillhead 2018

Hillhead 2018 is on this week and where better to capture a feel of the UK’s quarrying and construction industries? For those that don’t know, Hillhead is a biennial show that takes place in a quarry in Derbyshire. The show bills itself as the largest quarrying, construction and recycling event in the world. A large scale UK show gives us the opportunity to look at the local cement industry and we did exactly that in the June 2018 issue of Global Cement Magazine with Edwin Trout’s feature on the UK cement sector in 2017 and 2018. Following on from that article we’ll pick up a few threads.

Cement production in the UK fell by 5Mt/yr during the financial crisis of 2007 - 2008. Since then, as Graph 1 shows, production has been growing almost uniformly. However, it may have reached a plateau in 2017, with the major producers complaining about a weakened market due to Brexit uncertainty.

Main points from a news angle are the rise of the Breedon Group with its acquisition of Ireland’s Lagan Cement in April 2018, investments at Hanson’s Padeswood cement plant and Tarmac’s Dunbar cement plant and a fairly static market reported by the major producers. Alongside this, Ireland’s Ecocem opened a terminal in Sheerness in June 2017 and, more recently, has just inaugurated its slag grinding plant on the other side of the English Channel at Dunkirk.

The decision by Breedon to straddle an impending UK-European Union (EU) border seems wise with Hanson’s parent company HeidelbergCement actively blaming Brexit for market uncertainty in the UK. The rise of Ecocem, a slag cement grinder and distributor, also seems to suit the atmosphere with its smaller, more nimble operation than a clinker producer. It’s into this situation that Hanson is reusing a mill from Spain for its Padeswood project and Tarmac is buying its mill from Cemengal, a manufacturer known for making modular mills that can be moved after installation if so desired.

Banging on about Brexit, and indeed Brexit uncertainty, can’t last forever and once clarity appears then the building industry can focus on various pressing issues. One is the country’s lack of residential housing supply. One possible solution for this is a new national planning policy. The government finished a consultation period in May 2018 for the National Planning Policy Framework (NPPF) and industry bodies like the Mineral Products Association (MPA) have been making their views known. The MPA worries that that the proposed changes will weaken the mineral planning system and threaten the replenishment of aggregate and other mineral reserves. It argues that to secure the essential minerals required to build all those new houses the government needs an, “...efficient and effective mineral planning system with up to date plans, well-resourced planning departments and good data, which are prerequisites, as is appropriate capacity and capability in the ministry to ensure the system is planned, monitored and managed.” Detractors may point out that once the NPPF gets sorted we can all get on with the job of actually, like, building things but, as ever, the MPA has its part to play in the process.

Another indicator for the resumption of ‘business as normal’ might be the number of exhibitors at a trade show like Hillhead. The oranisers say that the exhibitors have grown by 10% in 2018 from 2016. With a heatwave forecast, the group stages of the football World Cup continuing and live demonstrations ongoing there are worse places to be to ponder the state of the industry. Amit Bhatia appointed deputy chairman of Breedon Group

UK: Breedon Group has appointed Amit Bhatia as its non-executive deputy chairman with immediate effect. Bhatia joined Breedon’s board as a non-executive director in August 2016, following the group’s acquisition of Hope Construction Materials. He is a director of Abicad Holding, a shareholder in Breedon, and vice chairman of Queens Park Rangers FC.

Breedon goes international

The rumours were confirmed yesterday when the UK’s Breedon Group announced its acquisition of Ireland’s Lagan Cement. The price was Euro527m, which Breedon will finance with a combination of a new loan, extended credit and an equity placing. The assets it will gain include a cement plant in Kinnegad, nine active quarries, 13 asphalt plants and nine ready-mixed concrete plants.

Breedon said that its strategy is to continue buying businesses in the heavyside construction materials market. At a stroke, once the deal completes on 20 April 2018, it becomes an international company. From the cement perspective it gains a new 0.7Mt/yr plant in central Ireland and a terminal in Belfast, UK. The UK Competition and Markets Authority (CMA) wasn’t mentioned in Breedon’s press release on the purchase but it seems unlikely that the competition body would have much to say on the transaction. Lagan Cement does hold ready-mix concrete (RMX) plants, aggregate and asphalt assets in Northern Ireland but these are far away from Breedon’s operations in mainland Britain. That said, the CMA did force Breedon to sell 14 RMX sites when it bought Hope Construction Materials in 2016. Generally speaking, Breedon’s enlargement reduces the diversity of the UK cement industry on the smaller end leaving only Quinn Cement, with operations on both sides of the border, as the country’s sole remaining single site clinker producer.

Aside from geographical expansion, becoming an international building materials company may offer Breedon Group some security from the UK’s exit from the European Union (EU) (so called Brexit). Breedon will join CRH as the only two cement producers with production facilities in both the UK and Ireland. The strategic significance of the position Breedon and CRH are in geographically may arise from whatever deal is reached between the EU and the UK and the significance of the UK’s only land border with the EU. LafargeHolcim is nearly in this club with its plants in England and Northern Ireland and plenty of the other local producers straddle the UK-EU border with terminals or production facilities elsewhere. Yet, in an uncertain Brexit negotiation, having kilns on both sides of the line might come in handy once (or if) the politicians make a decision.

Although, if Liam McCaffrey, the chief executive officer of Quinn Industrial Holding, is to be believed, then Brexit will have little impact at all other than (low) tariffs in a worst case scenario. He said to local press that although damage to the construction industry might arise in the UK from a prolonged recession, the UK’s housing shortage and reliance on imported building materials would probably see it through. That point about a possible financial downturn is important to Breedon Group, given the new debt it will be taking on to pay for acquisition. This is something that will be familiar to Breedon’s competitor Cemex. It is still paying off the debts from its acquisition of Rinker in 2007.

Breedon has decided to delay the release of its interim results from mid-July to September 2018 to allow time for the integration of Lagan into the group. Its sales and earnings may dwarf those from 2017 that it described as ‘one of the most productive years’ in its history. In the meantime congratulations are in order for Breedon Group for ensuring that the UK cement sector is never dull.

Breedon Group buys Lagan Group for Euro527m

Ireland/UK: Breedon Group has acquired Lagan Group for Euro527m. The deal will be financed from a new loan, extended credit and an equity placing. The purchase will see Breedon Group enter the Irish market as it takes control Lagan’s production assets including a cement plant in Kinnegad, nine active quarries, 13 asphalt plants and nine ready-mixed concrete plants. The deal will complete on 20 April 2018.

“Lagan represents a unique opportunity to enter a growing market with immediate scale and excellent opportunities for expansion. It significantly strengthens our cement offer, adds to our mineral and downstream resources, brings us a bitumen import/export business and adds real weight to our contract surfacing operations,” said Paul Ward, Breedon’s chief executive.

Following the acquisition of Lagan, Breedon Group will operate two cement plants, around 70 quarries, 40 asphalt plants, 200 ready-mixed concrete and mortar plants, nine concrete and clay products plants, four contract surfacing businesses, six terminals and two slate production facilities. The group will also employ nearly 3000 people. It says its strategy is to continue growing organically and through the acquisition of businesses in the heavyside construction materials market.

Breedon Group sales in 2017 bounce on acquisitions

UK: Breedon Group has described 2017 as ‘one of the most productive years’ in its history following the full-year contribution from Hope Construction Materials that was acquired in mid-2016. Its sales revenue rose by 43% year-on-year to Euro728m in 2017 from Euro507m in 2016. Its underlying earnings before interest and taxation rose by 35% to Euro90m from Euro66.5m.

“We completed the integration of our largest-ever acquisition, concluded two bolt-on purchases and announced an important transaction with Tarmac that, subject to approval by the competition authorities, will see us streamline our ready-mixed concrete network in exchange for a substantial new reserve of minerals and a strategically valuable asphalt plant. This did not, however, distract us from our operational focus and we once again delivered a solid financial performance,” said executive chairman Peter Tom.

The construction materials group said that construction output continued to grow in 2017, rising by 3% despite a softening of the market during the second and third quarters of 2017. It reported ‘marked’ geographical disparities, with generally stronger demand in England than in Scotland and many regional variances within both countries. Growth was led by increases in residential and infrastructure development.

The group completed a programme of capital investment during the year at its Breedon Cement division. This included buying a fleet of new tractor units and powder tankers, upgrading the pre-heater riser, kiln feed and rail line at the Hope cement plant and a replacement excavator at the limestone quarry.
